Terms of Service

By accessing or using the Ariveh Technologies website or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you may not use our services. These terms apply to all visitors, clients, and others who access or use our website and services.

Ariveh Technologies provides eCommerce software development, UX/UI design, strategy, growth, cloud, and managed support services ("Services"). The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement signed between Ariveh and the client. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Clients agree to: • Provide accurate and complete information required for project delivery. • Grant Ariveh access to necessary systems, accounts, and resources in a timely manner. • Review and provide feedback on deliverables within agreed timelines. • Ensure that any content, assets, or data provided to Ariveh does not infringe on any third-party intellectual property rights. • Pay invoices according to the payment schedule in your service agreement.

Client-Owned IP: Upon full payment, clients own all custom code, designs, and deliverables produced specifically for their project as defined in the SOW. Ariveh IP: Ariveh retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and know-how used in the delivery of services. Any such components incorporated into client deliverables are licensed to the client on a non-exclusive, perpetual basis. Portfolio Rights: Unless otherwise agreed in writing, Ariveh reserves the right to reference the client's project in our portfolio and marketing materials.

Unless otherwise specified in your service agreement: • Invoices are due within 30 days of issue. • Late payments may incur interest at 1.5% per month on the outstanding balance. • Ariveh reserves the right to pause or terminate services for accounts with invoices more than 30 days overdue. • All fees are exclusive of applicable taxes, which the client is responsible for.

Both parties agree to keep confidential any non-public business, technical, or financial information exchanged during the engagement. This obligation survives termination of the service agreement for a period of three (3) years. Ariveh will not disclose client data to third parties except as required to deliver the services or as required by law.

To the maximum extent permitted by applicable law, Ariveh's total liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim. Ariveh shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities, even if advised of their possibility.

Ariveh warrants that services will be performed in a professional manner consistent with industry standards. Ariveh does not warrant that deliverables will be free of all defects, or that any specific business outcome will be achieved. The website and its content are provided "as is" without warranties of any kind, express or implied.

Either party may terminate a service agreement with 30 days written notice. In the event of termination: • The client shall pay for all work completed up to the termination date. • Ariveh will deliver all completed and in-progress work to the client. • Perpetual licenses granted to the client survive termination.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

We may update these Terms of Service at any time. We will provide notice of material changes via email or on our website. Continued use of our services after changes constitutes your acceptance of the updated terms.
